CITY OF WILDWOOD Cape May County, New Jersey RESOLUTION A RESOLUTION AUTHORIZING THE AWARD OF A PROFESSIONAL SERVICES AGREEMENT TO MALEY GIVENS, P.C. TO SERVE AS SPECIAL REDEVELOPMENT COUNSEL IN CONNECTION WITH THE BACK BAY REDEVELOPMENT PROJECT WHEREAS, the City of Wildwood (the City) is currently engaged in the closure of the former landfill and development of the former Department of Public Works site as part of the Back Bay Redevelopment Area Project (the Project); and WHEREAS, the City is in need of a Special Redevelopment Counsel for the Project; and WHEREAS, Maley Givens, P.C.; has submitted a proposal to the City of Wildwood (the City) offering Specialized Redevelopment Counsel services and has demonstrated extensive experience in Redevelopment Law; and WHEREAS, the Board of Commissioners has reviewed the same and wishes to enter into an agreement with Maley Givens, P.C. for part-time Specialized Legal Counsel services as a non-fair and open contract pursuant to Pay to Play laws, N.J.S.A. 19:44A-20.4 et seq; and WHEREAS, the total value of the agreement with Maley Givens, P.C. will not exceed $10,000.00; and WHEREAS, Maley Givens, P.C. has completed and submitted a Business Entity Disclosure Certification which certifies that said entity has not made any reportable contributions to a political or candidate committee in the City of Wildwood in the previous one year, and that the contract will prohibit it from making any reportable contributions for the term of the contract; and WHEREAS, the Local Public Contract Law N.J.S.A. 40A:11-1, et seq. permits for the adoption of a resolution authorizing the award of a contract for professional services without competitive bids; and WHEREAS, the Chief Financial Officer of the City of Wildwood has certified the availability of funds. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the City of Wildwood, County of Cape May, State of New Jersey as follows: 1.That the provisions of the above preamble of this Resolution are hereby incorporated by reference as if set forth at length. 2.That the Board of Commissioners hereby approves an agreement with Maley Givens, P.C., 1150 Haddon Avenue, Suite 210, Collingswood, NJ 08108 to provide professional services as more specifically set forth in the attached proposal, incorporated by reference herein, in an amount not to exceed Ten Thousand ($10,000.00) Dollars. 3.The Mayor and City Clerk are hereby authorized and directed to execute the contract on behalf of the City, and to take any and all other actions necessary to effectuate the purposes thereof. 4.The Business Disclosure Entity Certification and a copy of the agreement shall be placed on the file with this Resolution. 5.That this Resolution shall be published according to law.
