CITY OF WILDWOOD Cape May County, New Jersey RESOLUTION A RESOLUTION AUTHORIZING THE AWARD OF A PROFESSIONAL SERVICES AGREEMENT TO DEBLASIO & ASSOCIATES, P.C. WHEREAS, the City of Wildwood (the City) is considering the vacation of certain paper streets within the City adjacent to the Back Bay Redevelopment area; and WHEREAS, DeBlasio & Associates, P.C. has provided the City with a proposal to survey and prepare metes and bounds descriptions as it relates to the vacation of portions of Roberts Avenue, Mediterranean Avenue, Youngs Avenue, Spencer Avenue, and Spicer Avenue (the Project); and WHEREAS, the Local Public Contract Law N.J.S.A. 40A:11-1, et seq. permits for the adoption of a resolution authorizing the award of a contract for professional services without competitive bids; and WHEREAS, the Chief Financial Officer of the City of Wildwood has certified the availability of funds. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the City of Wildwood, County of Cape May, State of New Jersey as follows: 1.That the provisions of the above preamble of this Resolution are hereby incorporated by reference as if set forth at length. 2.That the Board of Commissioners hereby approves a professional services agreement with DeBlasio & Associates, P.C., located at 4701 New Jersey Avenue, Wildwood, NJ 08260, as more specifically set forth in Exhibit A, annexed hereto and incorporated by reference herein, in an amount not to exceed EIGHT THOUSAND FIVE HUNDRED ($8,500.00) DOLLARS. 3.The Mayor and City Clerk are hereby authorized and directed to execute the contract on behalf of the City, and to take any and all other actions necessary to effectuate the purposes thereof. 4.The Business Disclosure Entity Certification and a copy of the agreement shall be placed on the file with this Resolution. 5.That this Resolution shall be published according to law. CITY OF NORTH WILDWOOD COUNTY OF CAPE MAY, NEW JERSEY ORDINANCE NO. 1974 AUTHORIZING THE GRANT OF A CONSERVATION RESTRICTION/EASEMENT TO THE NEW JERSEY DEPARTMENT OF ENVIRONMENTAL PROTECTION FOR RECREATIONAL USE BY THE PUBLIC ON A PORTION OF BLOCK 291.01, LOT 1 AND A PORTION OF BLOCK 317.03, LOT 5 ON THE OFFICIAL TAX MAPS OF THE CITY OF NORTH WILDWOOD WHEREAS, the Grantor is the owner in fee simple of certain real property located in the City of North Wildwood, County of Cape May, New Jersey, designated as Lot 1, Block 291.01 and Lot 5, Block 317.03 on the official Tax Map of the City of North Wildwood (hereinafter the Property); and WHEREAS, the Legislature has enacted the Public Access Law, N.J.S.A. 13:1D-150-156, L. 2019, c. 81, which finds and declares that the Department of Environmental Protection has the authority and duty to protect the publics right of access to tidally flowed and formerly flowed tidal waters and their adjacent shorelines to the greatest extent practicable, and to remove physical and institutional impediments to public access to the maximum extent practicable; and WHEREAS, the Grantee has issued to Grantor Permit #0507-03-0009.4 LUP230001, (the Permit), which permits certain construction described therein, and requires among other conditions, public access to the waterfront, pursuant to the corresponding Rules on Coastal Zone Management, N.J.A.C. 7:7 et seq., as amended, specifically N.J.A.C. 7:7-16.9 - Public Access, and the public trust rights rule at N.J.A.C. 7:7-9.48; and WHEREAS, by virtue of the Propertys location directly on the Atlantic Ocean, the waterfront area of the Property possesses great scenic, aesthetic and recreational qualities for the public enjoyment; and WHEREAS, pursuant to the Public Trust doctrine, applicable case law, State statutes, and duly adopted regulations, as a condition to the Permit, Grantor must provide for public access over a portion of the Property including its waters edge, by creating and maintaining in perpetuity a walkway, as well as restrooms and parking spaces as may be applicable, reserved for use by the public (collectively the Conservation Restriction/Easement Area), as more specifically shown on the approved plan(s) entitled PLAN ACCOMPANYING: CAFRA IP AND FWW GP17A FOR RESHAPING OF SCRAPPED DUNE BETWEEN 16th and 13th AVES, prepared by Ralph Petrella, Jr., dated October 23, 2023, last revised date January 26, 2024, and more particularly described on a legal description (metes and bounds) of the Easement Area; and WHEREAS, the Grantee is authorized by N.J.S.A. 13:1D-9 to formulate comprehensive policies for the conservation of natural resources, to promote environmental protection, and prevent pollution of the environment of the State, and is authorized by N.J.S.A. 13:8B-3 to acquire and enforce conservation restrictions; and WHEREAS, the Conservation Restriction/Easement Area is free and clear of any and all easements and all claims; no portion of the Conservation Restriction/Easement Area is or shall be subordinated to any mortgage, lien, loan, financing, guarantee, or other claim, including, but not limited to, claims for unpaid taxes; the land is not subject to any foreclosure proceeding; and the Grantor is solvent and has not filed for bankruptcy; and WHEREAS, the Grantor, having the authority to do so, intends to enter into a Conservation Restriction/Easement in order to grant to the Grantee a Conservation Restriction/Easement on the Property for recreational use by the public. B.Workers Compensation and employers liability insurance meeting statutory limits required under all applicable state laws covering all persons employed, retained or contracted with by Carrier. In addition, the Carrier shall provide a certificate of insurance indicating that the Carrier maintains coverage for Employers Liability as follows: $1,000,000 Per Accident, $1,000,000 Per Employee, and $1,000,000 Per Policy. C.Automobile Liability Insurance with a minimum combined single limit of liability per accident of one million ($1,000,000) dollars for bodily injury and property damage. This insurance must include coverage for owned, hired, and non-owned automobiles. D.All such insurance shall be written by a good and solvent insurance company or companies of recognized standing, admitted to do business in the State of New Jersey, and reasonably acceptable to the Borough. As reviewed and approved by the Boroughs Risk Management Consultant. E.Each carrier shall be required to name the Borough as an Additional Insured on the carriers policy of commercial general liability and automobile insurance. Carrier shall provide the Borough with a Certificate of Insurance and Endorsement indicating that the insurance coverage as described herein, and as is appropriate for the type of use and hazards present, has been obtained and that the Borough has been designated as an Additional Insured where required. The Certificate of Insurance and Endorsement shall provide that the Borough be given not less than thirty (30) days prior written notice in the event of modification, cancellation, or nonrenewal of the insurance coverage and ten (10) days in the event of non-payment of premium. On or before the renewal date of said policy, carrier shall be required to provide the Borough with a Certificate of Insurance indicating the continuation of insurance coverage. F.Copies Required. The carrier shall provide copy of certificates of insurance reflecting the requirements of this section to the Borough within ten (10) days following zoning approval and prior to obtaining a construction permit. G.Indemnification. Prior to constructing a facility in the public rights-of-way, and as a precondition to the issuance of a permit pursuant to this Article, the carrier shall execute the Master License Agreement, agreeing, among other things, to the fullest extent permitted by law, to save harmless and defend the Borough, its elected and appointed officials, its employees, agents, volunteers and others working on behalf of the Borough, from and against any and all claims, losses, costs, attorneys fees, damages, or injury including death and/or property loss, expense claims or demands arising out of the Agreement or Carriers use of the Boroughs property, including all suits or actions of every kind or description brought against the Borough, either individually or jointly with Carrier for or on account of any damage or injury to any person or persons or property, caused or occasioned or alleged to have been caused by, or on account of, any of the activities conducted by or caused to be conducted, or equipment or Facilities installed by Carrier, or through any negligence or alleged negligence in safeguarding Borough property, or members of the public, or through any act, omission or fault or alleged act, omission or fault or alleged act, omission or fault of the Carrier, its employees, agents, volunteers, subcontractors or others under the direction, control or under any contractual relationship with the Carrier. The Borough will provide the carrier with prompt, written notice of any claim covered by this indemnification; provided that any failure of the Borough to provide any such notice, or to provide it promptly, shall not relieve the carrier from its indemnification obligation in respect of such claim. The Borough shall cooperate with the carrier in connection with the carriers defense of such claim. The carrier shall defend the Borough, at the Boroughs request, against any claim with counsel of the Boroughs choosing that is reasonably satisfactory to the carrier. Section 2.The remainder of all other sections and subsections of the aforementioned ordinance not specifically amended by this Ordinance shall remain in full force and effect. Section 3.All other ordinances in conflict with or inconsistent with this ordinance are hereby repealed to the extent of such inconsistency. Section 4.If any portion of this ordinance is adjudged unconstitutional or invalid by a court of competent jurisdiction, such judgment shall not affect or invalidate the remainder of this ordinance, but shall be confined in its effect to the provision directly involved in the controversy in which such judgment shall have been rendered.
